Terms of Service

These Terms govern access to and use of ORIVIS Engine, operated by Null Systems LLC.

Effective Date September 20, 2026

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of ORIVIS Engine. By creating an account, connecting a data source, or otherwise using the ORIVIS platform, you agree to these Terms on behalf of yourself and, where applicable, the dealership organization you represent.

If you use ORIVIS on behalf of a dealership or other organization, you represent that you are authorized to accept these Terms for that organization.

If you do not agree to these Terms, you should not use the platform. Questions can be raised at any time through ORIVIS contact.

2. About ORIVIS Engine

ORIVIS Engine is operated by Null Systems LLC. ORIVIS provides business intelligence, diagnostics, analysis, estimates, insights, and recommendations for automotive dealerships.

ORIVIS analyzes the business information you provide or connect — such as sales, service, customer, and communications data — and presents findings, diagnostics, estimated financial impact, and recommended actions through the platform.

ORIVIS is a decision-support system. It does not independently make business decisions or take external actions on behalf of dealership management. Recommendations and analysis should be reviewed by authorized dealership personnel before any action is taken.

3. Accounts and Access

You may need an account to use parts of ORIVIS. You are responsible for the accuracy of the account and organization information you provide, for safeguarding your sign-in credentials, and for activity that occurs under your account.

Organizations on ORIVIS manage their own members and roles. You should only grant workspace access to people authorized by your dealership, and you should remove access promptly when someone leaves the organization.

You must be at least the age required by applicable law to form a binding contract, and ORIVIS is a business service not intended for children.

4. Subscriptions, Trials, and Billing

ORIVIS may be offered through trial periods and paid subscriptions. When an environment is activated, an organization may be granted a one-time trial period (currently seven days) that begins when the environment is marked ready. Trial availability, features, and duration are determined by ORIVIS and may change.

Trial terms are intended to be one-time per organization. Where a trial converts to a paid subscription, the subscription terms, fees, and billing cycle presented to you at sign-up or activation apply.

Paid subscriptions continue until cancelled. You may cancel as described in the subscription controls made available to you or by contacting ORIVIS. Fees already charged for the current billing period are handled in accordance with the subscription terms presented at purchase. ORIVIS does not provide legal, tax, or accounting advice.

5. Use of ORIVIS

You agree to use ORIVIS only for lawful dealership business purposes, and you agree not to:

  • Access another organization's information or workspace without authorization.
  • Attempt to bypass or defeat access controls, usage limits, or security measures.
  • Interfere with or disrupt the service, or introduce harmful code.
  • Use ORIVIS to violate the rights of any person or any applicable law.
  • Resell, sublicense, or provide access to ORIVIS to third parties without ORIVIS's prior written agreement.

6. Customer Data and Connected Services

You remain responsible for the information and data you provide or connect to ORIVIS, and for ensuring you have the appropriate rights and permissions to use that information with the service.

ORIVIS may connect to third-party services such as Gmail and Google Calendar only when authorized by the customer and subject to the applicable integration permissions. Connected access is limited to what you authorize through the connection, and current Google connections are read-only: ORIVIS does not use those permissions to send, delete, or modify Gmail messages or Calendar events.

Connected services remain subject to the third party's own terms and availability. You may disconnect an authorized connection at any time through the connection controls in your workspace, and disconnecting stops ORIVIS's access going forward.

7. AI-Assisted Analysis and Recommendations

ORIVIS uses automated analysis and AI-assisted systems to evaluate business information and identify patterns, issues, opportunities, and recommended actions.

Where applicable, ORIVIS distinguishes between source information, calculated values, estimates, system interpretations, and recommendations, so that the basis of each finding is visible.

Findings that cannot be supported by the available information are not presented as business intelligence. Where ORIVIS lacks the information needed to answer a question, it says so rather than filling the gap.

8. Accuracy, Estimates, and Business Decisions

ORIVIS findings, diagnostics, estimates, and recommendations are decision-support information. They depend on the quality, completeness, and accuracy of the data you provide or connect, and on assumptions configured in the platform.

Estimates and projections may be incomplete or wrong. Analysis and recommendations should be reviewed by authorized dealership personnel before any action is taken, and your organization remains responsible for business decisions made on the basis of ORIVIS output.

The public demonstration environment uses simulated information. Demo findings and financial values do not describe a real dealership and should not be treated as actual business results.

9. Intellectual Property

ORIVIS Engine, including its software, design, branding, and content, is owned by Null Systems LLC and protected by applicable intellectual property law. Except for the rights expressly granted in these Terms, no rights in the platform are transferred to you.

You retain the rights to the business information and data you provide or connect to ORIVIS. You grant ORIVIS the limited right to process that information as needed to provide the service and the features you use.

10. Third-Party Services and Integrations

ORIVIS may integrate with third-party services selected or authorized by the customer, such as Google Gmail and Google Calendar. Those services are provided by third parties under their own terms and privacy policies, and ORIVIS does not control their availability, functionality, or processing of your information.

If a third-party service changes, restricts, or discontinues access that an integration depends on, the corresponding ORIVIS functionality may be affected. ORIVIS will reflect the actual status of integrations in the platform rather than presenting a connection as working when it is not.

11. Suspension and Termination

You may stop using ORIVIS and close your account as described in the account controls made available to you or by contacting ORIVIS.

ORIVIS may suspend or terminate access to the service if you materially breach these Terms, use the platform unlawfully, create risk of harm to ORIVIS or others, or where required by law or a third-party provider. Where practicable, ORIVIS will tell you the reason for a suspension.

Upon termination, your access to the platform ends. Some records may need to be retained where required for security, legal, or operational reasons, as described in the Privacy Policy.

12. Disclaimers and Limitation of Liability

ORIVIS is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Null Systems LLC disclaims warranties that are not stated in these Terms, including implied warranties of merchantability and fitness for a particular purpose. ORIVIS does not promise uninterrupted availability, that every finding will identify every business issue, or that estimates will match actual results.

To the fullest extent permitted by law, Null Systems LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or business opportunities, arising from your use of the service. ORIVIS provides decision support, and business decisions remain the responsibility of dealership management.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Changes to the Service and Terms

ORIVIS is actively developed. Features, availability, and trial or subscription terms may change as the product develops, and ORIVIS may add, modify, or discontinue functionality.

These Terms may be updated from time to time. The updated version will be posted on this page with a revised effective date when appropriate, and continued use of the platform after changes are posted constitutes acceptance of the updated Terms.
